Terms of Service (TOS)

1. Acceptance of Terms

By accessing or using Miagra’s website or services (the “Service”), you agree to these Terms. If you do not agree, please do not use our Service.

2. Service Description

Miagra provides a migration service allowing users to transfer financial data between QuickBooks Online and QuickBooks Desktop (and vice versa). We do not guarantee success in all cases (see Section 6).

3. User Responsibilities

You agree to:

  • Provide accurate, complete information.
  • Only use the Service for data you are authorized to migrate.
  • Not use the Service for illegal or unauthorized activities.
  • Maintain your login credentials (if applicable) and not share them with third parties.

4. Payment and Billing

At this time, Miagra does not charge fees directly through the website.
If fees apply to your migration case, they will be communicated to you explicitly before any work is performed.
You will never be billed without your prior agreement.

5. Intellectual Property

All content on the Service (logos, design, software, text) is owned by Miagra or its licensors. You agree not to copy, modify, or distribute without permission.

6. No Guarantee & Limitation of Liability

While we strive to provide accurate migrations, you acknowledge that data migration is complex and we cannot guarantee perfect results. To the maximum extent permitted by applicable law:

  • Miagra: is not liable for any indirect, incidental, special, or consequential damages.
  • Our total liability to you shall not exceed the amount paid by you for the Service.

7. Indemnification

You agree to indemnify and hold Miagra harmless from any claims, damages, losses, lawsuits arising from your violation of these Terms or your use of the Service.

8. Termination

We may suspend or terminate your access at any time if you breach these Terms. You may also stop using the Service at any time.

9. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes your acceptance.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of USA. Any dispute will be resolved in the courts located in California, USA.
